VOLUNTEER SERVICE AGREEMENT
This agreement is made between the Volunteer and the Rehabilitation and Empowerment of Adults and Children with Handicap Foundation, Inc. herein referred to as the Organization.
The Volunteer agrees to provide its professional services to client beneficiaries seen using the Organization’s platform and materials in accordance with the terms and conditions of this agreement.
In consideration of the above, the parties hereby agree to the following terms and conditions:
1. COVERAGE OF VOLUNTEER SERVICES: PHYSICAL THERAPY/OCCUPATIONAL THERAPY/SPEECH and LANGUAGE THERAPY/SPECIAL EDUCATION TUTORIALS
The coverage of volunteer services are as follows:
The Volunteer shall be primarily responsible for designing and implementing physical therapy/occupational therapy/speech and language therapy/tutorial services and other related services to assigned client beneficiaries in accordance with professional standards and ethical codes of practice.
Intern/student Volunteers agree to render services given adequate supervision by a designated and qualified professional.
The Volunteer shall render services to client beneficiaries following the prescribed work processes and terms and conditions discussed herein.
2. ALLOWANCE, INCENTIVES, AND BENEFITS
The Volunteer shall not receive any monetary compensation but shall be given access to Organization’s home programs and capacity building activities. The Volunteer will be eligible to avail rewards and incentives that may be offered by the Organization and its partners.
3. ENGAGEMENT
The Volunteer understands that they are in no terms considered an employee of the Organization. Furthermore, the Organization acknowledges that the Volunteer is not an employee and they may exercise their professional practice at free will.
4. LIABILITY
The Volunteer agrees to indemnify and hold the Organization harmless against any damages related to the Volunteer’s activity. Nevertheless, the Volunteer agrees to provide written notification to the Organization in the event that an untoward incident takes place while the volunteer is providing services.
5. JURISDICTION
This Agreement is governed by Philippine law, and the parties submit themselves to the jurisdiction of the relevant Philippine courts.
In the event of a dispute arising out of or by reason of this Agreement, the Parties shall exert diligent efforts at reaching an amicable agreement. In case no amicable resolution is reached, any action or proceeding arising out of or in connection with this Agreement shall be exclusively brought before the courts of Mandaluyong City, Philippines.
The Volunteer agrees that in the instance of legal proceedings they will cooperate with the Organization as well as the Organization’s agents.
6. TERMS OF VOLUNTEER WORK
This Volunteer Agreement shall begin upon the Organization’s confirmation of the Volunteer’s application and shall end when the Volunteer ceases to see client beneficiaries through and using the Organization’s platform and materials..
The Organization may decline the Volunteer’s services and may terminate this agreement with sufficient reason and prior notification.
7. PROPRIETARY INFORMATION AND CONFIDENTIALITY/NON-DISCLOSURE AGREEMENT
Intellectual Property and Confidential Proprietary Information.
In the course of performing the Services, the Volunteer may be exposed to confidential and proprietary information of the Organization;
"Confidential and Proprietary Information" shall mean any data or information that is competitively sensitive material and not generally known to the public, including, but not limited to, information relating to development and plans, marketing strategies, finance, operations, systems, proprietary concepts, documentation, instructional materials, reports, databases, inventions, client/patient lists, and internal performance results relating to the past, present or future business activities, technical information, designs, processes, procedures, which Organization considers confidential and its sole and exclusive property.
Volunteer acknowledges and agrees that the Confidential Information is a valuable property of the Organization developed over a lengthy period of time at substantial expense and that it is worthy of protection.
The Parties agree that all work products, information, or other materials created and developed by the Volunteer in connection with the performance of the Services under this Agreement and any resulting intellectual property rights (collectively, the "Work Product") are the sole and exclusive property of the Organization.
Confidentiality Obligations.
Except as otherwise expressly permitted in this Agreement, the Volunteer shall not disclose or use in any manner, directly or indirectly, any Confidential Information including but not limited to client information during the term of this Agreement or at any time thereafter, except with the Organization’s prior written consent.
The Organization shall be entitled to pursue any other legally permissible remedy available as a result of such breach, including but not limited to damages, both direct and consequential.
In any legal action brought by the Organization under this Section, it shall be entitled to recover its attorney's fees, damages, and costs from the Volunteer.
